Bee Naturals Inc. ("Bee Naturals" or "Manufacturer") is dedicated to the manufacture of high-quality products and the thoughtful distribution of our products. To preserve Bee Naturals' reputation for providing high quality products and great sales support, Bee Naturals must exercise a degree of control over how our products are advertised. Therefore, all sales of Bee Naturals products will be subject to our Minimum Advertised Price Policy ("MAP Policy" or "Policy"). This policy may be modified at any time by Bee Naturals in its sole discretion.

The terms of this MAP Policy apply to all Sellers. All Sellers are expected to communicate and enforce the requirements of this policy to their respective resellers, franchisees, and buyers of Bee Naturals products. Failure to comply with this policy by either a Seller or a Seller's reseller, franchisee, or buyer shall be treated as a policy violation.

1. Purpose of MAP. The purpose of the MAP Policy is to establish standard policies and practices that protect and uphold the high standards of Manufacturer's brands, including Bee Naturals Products ("Products"). Wholesalers, Distributors, Resellers or any other Party selling the Products may collectively be referred to as "Sellers" or individually referred to as "Seller" in this Policy. The MAP Policy is intended to provide guidance to Sellers on how the brands and Products should be represented in the marketplace. It is the responsibility of all Sellers to assist in the policing of this MAP Policy and to immediately contact Bee Naturals with details regarding any violations.

2. MAP Policy. This Policy applies to all forms of advertising including websites, apps, digital platforms, mailings, facsimiles, catalogs, displays, radio, signs, fliers, circulars, broadcast e-mail newsletters, direct e-mail solicitation, automated response pricing e-mails, search engine optimization, banners, pop-up ads, price comparison platforms, shopping feed and portal sites, online display advertising, SMS or text messages, social media marketing, television, print, and any and all other forms of advertising media, including, without limitation, the Internet and any other electronic network. This Policy further applies to any and all direct or indirect displays of information relating to the price of the Products that can be seen on any print, internet, or other media images, including postings displayed on social media or other forums. Any advertisement showing the MAP but suggesting that the advertised offer is less than the MAP will be deemed a violation of this Policy. Manufacturer will maintain a MAP Schedule ("MAP Schedule") denoting the Minimum Advertised Price ("MAP") assigned to each Product on which Manufacturer has elected to establish and/or maintain a MAP. Sellers will be acting in accordance with this Policy so long as any Advertising of a Product does not display a price that falls below the then-current MAP for such product in the then-current Price Schedule. Manufacturer has sole discretion as to whether and when to establish and/or maintain a MAP for any Product. Any MAP will be active as of the revision date of the applicable Price Schedule and remain in effect until superseded by a new Price Schedule or otherwise modified, updated, or cancelled by Manufacturer.

3. MAP Does Not Apply to Sale Price. This MAP Policy applies only to advertising of prices and does not apply to the price at which the Products are actually sold. Seller remains free and able to sell any Product at any price such Seller elects. No part of this MAP Policy is intended to affect resale prices or to require any Seller to resell any covered Products at the Minimum Advertised Price for such Product. Bee Naturals does not seek any Seller's agreement on minimum selling prices, and no representative or employee of Bee Naturals is authorized to accept any such agreement from a Seller of Bee Naturals brand products.

4. Excluded Communication from MAP Policy. This MAP Policy does not apply to communication for Products offered for sale during a person-to-person telephone conversation, to customers within Seller's physical location, by individual person-to-person e-mail, when appearing in an online shopping cart of an Approved Website, or any means that does not display a price lower than the MAP to the general public through advertising. This MAP Policy does not in any way limit the ability of any Seller to advertise that they "have the lowest prices," "will meet or beat any competitor's price," or that buyers should "call for price," as long as the price advertised or listed for the Products adheres to this MAP Policy.

5. In-Store Advertising. This Policy applies to all in-store advertising with the exception of price tags, which may be marked with the actual price set by the Seller.

6. MAP Updates. Manufacturer reserves the right to update, modify, amend, or replace this Policy at any time with or without notice. Seller may request the most recent MAP Policy or MAP Schedule by sending an email request with Seller's Company Name, Contact Name, online store name, phone number, email address, and physical address to Bee Naturals' policy coordinator at support@beenaturals.com or (573) 242-3475.

7. MAP Violation. Failure to comply with the MAP Policy is subject to termination of the Product Warranty, termination of the Product Guarantee, termination of the license to use Bee Naturals' trademark and other intellectual property, termination of distribution rights for Products, termination of the right to sell Products in "new" condition, and other remedies as provided by law. Bee Naturals may enforce this policy through its own staff, outside contractors, and agents, and will unilaterally make all determinations relating to a violation of the Policy at its sole discretion. Seller will notify Manufacturer of policy violations discovered in the marketplace and will cooperate with enforcement actions.

8. MAP Holidays. Bee Naturals may in its sole discretion allow limited MAP holidays for specific time periods. Affected parties will be notified in writing in advance if such a MAP holiday applies and for what time period.

9. Severability and Survival. If any provision of this Policy is found to be invalid, illegal, or unenforceable for any reason, the remainder of the Policy shall be enforced as fully as possible and the unenforceable provision shall be deemed modified to the limited extent required to permit its enforcement in a manner most closely representing its original intention.

10. Independent Development. Bee Naturals has developed and determined its MAP and MAP policy independently, separate and apart from any other organization, trade association, manufacturer, or brand.

11. Authorized Contact. Bee Naturals sales personnel have no authority to modify or grant exceptions to this MAP Policy. All questions regarding the interpretation of this policy must be directed to Bee Naturals' policy coordinator at support@beenaturals.com or (573) 242-3475 — the only representative authorized to comment on or respond to inquiries regarding this MAP Policy.

By continuing to sell the Products, doing business with Bee Naturals, and/or doing business with any of its Sellers after the revision date of this Policy, Seller shall be automatically bound to the terms and conditions contained herein.

Bee Naturals Inc. ("Bee Naturals" or "Manufacturer") is a leading manufacturer of high-quality skin-care and cosmetic products. Bee Naturals' online brand integrity is linked to the quality of products distributed to customers. To maintain that integrity and reputation, Bee Naturals publishes this mandatory and binding Online Sales Policy pertaining to the sale and/or resale of Bee Naturals Products ("Products") by Resellers, Wholesalers, and any other parties wishing to sell the Products. Seller may sell or offer for sale the Products only via Approved Sales Channels, including Approved Web Sites. Seller shall not sell or offer for sale any of the Products on Amazon.com, eBay.com, Walmart.com, Etsy.com, BeautyBridge, or any other online/digital platform(s) without clear advance written consent of Manufacturer.

Any Seller who sells or offers the Products must adhere to the Online Sales Policy for matters including but not limited to Bee Naturals promotions, offerings, sales, intellectual property usage, and shipping. Bee Naturals' guidelines for online sale include:

• Without express written license directly from Bee Naturals, no party other than Bee Naturals may create listings for Products on any websites (including Amazon.com, eBay.com, Walmart.com, Etsy.com, BeautyBridge, etc.).
• Products must be listed only with approved Product images and approved Product descriptions, at Bee Naturals' sole discretion.
• Incorrect categories for Products shall not be created, listed under, sold under, or participated in.
• Shipments of Products shall be e-commerce compliant (boxed properly, sealed well, all required labels included).
• Incorrect UPCs shall not be used in listing or selling Products.
• Mixing other companies' brands with the Products is strictly prohibited, in listings or in sales.
• Without express written license, no party other than Manufacturer will create new variations, multi-packs, or bundles of Products.
• Misleading images, descriptions, or sizes are strictly prohibited (e.g. old labels or old model numbers shipped in place of new Products).
• Follow the established rules and accepted practices of the online platform you are using.
• Adhere to the MAP Policy and only advertise Products at a price equal to or greater than the current Minimum Advertised Price.
• Seller will not sell Products to any resellers without advance written consent from Manufacturer; if permitted, Seller is fully responsible for ensuring those resellers also meet these guidelines.
• Seller will notify Manufacturer of policy violations discovered in the marketplace and will cooperate with enforcement actions.

Failure to comply with the Online Sales Policy is subject to termination of the Product warranty, termination of the Product guarantee, termination of the license to use Bee Naturals' trademarks and other intellectual property, termination of distribution rights for Products, termination of the right to sell Products in "new" condition, and other remedies as provided by law. In any action to enforce the MAP Policy, Bee Naturals shall be entitled to recover reasonable costs and expenses incurred in such action, arbitration, or referral to a third party.

Manufacturer reserves the right to modify the Online Sales Policy at any time.

These operational terms apply to all Bee Naturals wholesale accounts and orders, in addition to the MAP Policy and Online Sales Policy above.

Shipping & Handling. Shipments are sent via a reasonable commercial shipping carrier unless otherwise requested. Other shipping options are available upon request; Bee Naturals is not liable for damage caused in shipping. Handling charges may be assessed on shipments, including freight-collect accounts.

Shortages. All shortage claims must be reported within seven (7) days of receiving a shipment. No exceptions. Contact our customer service department immediately if you believe you've been shorted.

Returns. To receive a refund, product must be returned within thirty (30) days of purchase, undamaged, and in original packaging. All returns require a return authorization number, available by calling during normal operating hours. Shipping costs are not refunded.

Repairs & Warranty. All warranty items require a return authorization number. Warranties vary per product — please review the product information for specific guidelines.

Refused Shipments. Accounts that refuse a placed order are responsible for all freight charges plus a refused-shipment fee.

Returned Checks. A service charge will be added to accounts with a check returned for non-sufficient funds. If a check is returned, the account will be placed on a prepay-only basis.

Price Changes. Bee Naturals reserves the right to change prices at any time without prior notification.

Operating Hours. Monday through Saturday, 9:00 AM to 10:00 PM CT, and Sunday 10:00 AM to 6:00 PM CT. Orders may be placed after hours via e-mail.
