MAP Policy

Purpose

Bee Naturals Inc. is dedicated to the manufacture of high-quality products and the thoughtful distribution of our products. To preserve Bee Naturals' reputation for providing high-quality products and great sales support, Bee Naturals must exercise a degree of control over how our products are advertised. All sales of Bee Naturals products are subject to this Minimum Advertised Price Policy ("MAP Policy" or "Policy"), which Bee Naturals has developed and determined independently, in its sole discretion, separate and apart from any other company, group, organization, trade association, or brand.

This Policy applies to all Sellers - Wholesalers, Distributors, Resellers, or any other party selling Bee Naturals products. All Sellers are expected to communicate and enforce this Policy with their own resellers, franchisees, and buyers; failure to comply by a Seller or by a Seller's downstream reseller, franchisee, or buyer is treated as a policy violation.

Scope

This Policy applies to all forms of advertising, including websites, apps, digital platforms, mailings, catalogs, displays, radio, signs, fliers, broadcast e-mail, search engine optimization, banners, pop-up ads, price comparison platforms, shopping feed and portal sites, social media marketing, television, print, and any other advertising media, including the Internet. It also applies to any direct or indirect display of Product pricing seen on any print, internet, or other media, including social media posts. An advertisement that displays the MAP but suggests the actual offer is lower than MAP is a violation of this Policy.

This MAP Policy applies only to the advertised price of Products, not to the price at which Products are actually sold. Sellers remain free to sell any Product at any price they choose, and Bee Naturals does not seek any Seller's agreement on minimum selling prices. This Policy does not apply to person-to-person conversations, communications to customers within a Seller's physical location, individual person-to-person e-mail, prices shown in an Approved Website's online shopping cart, or in-store price tags.

MAP Pricing

Bee Naturals maintains a MAP Schedule identifying the Minimum Advertised Price assigned to each Product for which Bee Naturals has elected to establish a MAP (see Appendix I of the Authorized Reseller Agreement). A MAP takes effect as of the revision date of the applicable MAP Schedule and remains in effect until superseded by a new Schedule or otherwise modified by Bee Naturals in writing. Bee Naturals may, in its sole discretion, allow limited MAP holidays for specific time periods, and will notify affected Sellers in writing in advance.

Enforcement

Failure to comply with this Policy is subject to termination of the Product warranty, termination of the Product guarantee, termination of the license to use Bee Naturals trademarks and other intellectual property, termination of distribution rights, termination of the right to sell Products as "new," and any other remedies available by law. Bee Naturals will unilaterally determine, at its sole discretion, whether a violation has occurred, and may enforce this Policy through its own staff, outside contractors, and agents. Sellers must notify Bee Naturals of any policy violations discovered in the marketplace and cooperate with Bee Naturals' enforcement efforts.

Bee Naturals sales personnel have no authority to modify or grant exceptions to this Policy. Amendments

Bee Naturals reserves the right to update, modify, amend, or replace this Policy at any time, with or without notice. To request the most recent MAP Policy or MAP Schedule, a Seller may submit a written request including its Company Name, Contact Name, online store name, phone number, email address, and physical address. If any provision of this Policy is found invalid or unenforceable, the remainder of the Policy remains in full force.

By continuing to sell Bee Naturals products, doing business with Bee Naturals, or doing business with any of its Sellers after the revision date of this Policy, Seller is automatically bound to the terms and conditions of this Policy.
