Online Sales Policy

Purpose

This Online Sales Policy governs where and how Authorized Resellers of Bee Naturals Inc. products may sell those products online. It applies in addition to, and does not replace, the Sales Channels terms of the Authorized Reseller Agreement.

Approved Sales Channels

Each Authorized Reseller's approved sales channels - physical location(s), website(s), and any social media or marketplace accounts - are specified individually in that Reseller's signed Agreement. Unless a channel is specifically listed as approved in your Agreement, it is not an authorized channel for resale.

Authorized Resellers may not sell Bee Naturals products on Amazon, Walmart, eBay, Etsy, BeautyBridge, or any other online marketplace without Bee Naturals' clear advance written consent.

Seller Guidelines

Sellers who sell or offer Bee Naturals Products must follow these guidelines, which include but are not limited to:

• Without express written license from Bee Naturals, no party other than Bee Naturals may create Product listings on any website, including Amazon.com, eBay.com, Walmart.com, Etsy.com, or BeautyBridge.
• Products must be listed only with Bee Naturals-approved Product images and descriptions.
• Products may not be listed or sold under incorrect categories.
• Shipments must be e-commerce compliant - properly boxed, sealed, and labeled.
• Incorrect UPCs may not be used in listing or selling Products.
• Mixing other companies' brands with Bee Naturals Products, in listings or in sales, is strictly prohibited.
• Without express written license, no party other than Bee Naturals may create new variations, multi-packs, or bundles of Products.
• Misleading images, descriptions, or sizes are strictly prohibited.
• Sellers must follow the established rules and accepted practices of whatever online platform they use.
• Sellers must adhere to Bee Naturals' MAP Policy and only advertise Products at or above the current Minimum Advertised Price.
• Sellers will not sell Products to other resellers without advance written consent from Bee Naturals.
• Sellers must notify Bee Naturals of any policy violations discovered in the marketplace and cooperate with enforcement.

Requesting Additional Channels

To add a website, social media account, or online marketplace to your approved Sales Channels, contact your Bee Naturals representative in writing before listing any products on that channel. Selling on an unapproved channel is a breach of the Authorized Reseller Agreement regardless of whether you intended to violate this Policy.

Enforcement

Failure to comply with this Online Sales Policy is subject to termination of the Product warranty, termination of the Product guarantee, termination of the license to use Bee Naturals trademarks and other intellectual property, termination of distribution rights, and termination of the right to sell Products as "new," as well as any other remedies available by law. In any action to enforce this Policy or the MAP Policy, Bee Naturals is entitled to recover its reasonable costs and expenses incurred in such action, arbitration, or referral to a third party. Bee Naturals reserves the right to modify this Online Sales Policy at any time.
